1. Introduction and Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," "User") and Billow ("we," "us," "our") governing your access to and use of the Billow platform, including our website, web application, and all related services (collectively, the "Service").

By creating an account, clicking "Create free account," clicking "Continue with Google," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using Billow on behalf of a business or organisation, you represent that you have the authority to bind that business or organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. Eligibility

To use Billow you must be at least 18 years of age, have the legal capacity to enter into a binding contract in your country of residence, and not be prohibited from using the Service under applicable law.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements.

3. Account Registration

3.1 Creating an Account with Email and Password

You may create a Billow account by providing your email address and creating a password. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must not share your password with anyone. You must notify us immediately at support@billowafrica.com if you suspect any unauthorised use of your account.

Your password is encrypted and stored securely. We will never ask you for your password by email, phone, or any other channel outside of the Billow login screen.

3.2 Creating an Account and Signing In with Google

You may alternatively create an account or sign in using your existing Google account by clicking "Continue with Google." When you choose this option, you authorise Google to share certain information from your Google account with Billow, specifically your email address, your name, and your profile picture if one exists. This information is used solely to create and identify your Billow account.

By signing in with Google, you are also subject to Google's own Terms of Service and Privacy Policy, which govern your use of your Google account. Billow has no control over Google's policies and is not responsible for them.

You may disconnect Google authentication and switch to email/password login at any time by contacting us at support@billowafrica.com.

3.3 Business Profile Setup

After creating your account, you will be prompted to set up your business profile. This includes your business name, address, contact information, payment details, and branding. This information will appear on invoices you create and send to your clients. You are responsible for ensuring that all business profile information you provide is accurate, current, and not misleading.

3.4 Account Accuracy

You agree to provide accurate, complete, and current information when registering and to keep your account information updated at all times through the Settings section of your account.

3.5 One Account Per User

Each individual or business may maintain only one active Billow account. Creating multiple accounts to circumvent any limitation, restriction, or suspension is prohibited and may result in all associated accounts being permanently closed.

4. The Service

4.1 What Billow Provides

Billow provides a platform that allows you to create, customise, and share professional invoices, track client payment status, record and categorise business expenses, monitor your income and expenditure through a financial dashboard, generate financial reports, and access AI-powered business health insights.

4.2 Free Plan

Billow offers a free plan that allows you to use core features of the Service at no cost, subject to the usage limits defined on our pricing page, which may be updated from time to time.

4.3 Paid Plans

Billow may offer paid subscription plans with additional features and higher usage limits. The features, pricing, and terms of paid plans will be described clearly at the point of purchase. By subscribing to a paid plan, you agree to pay the fees associated with that plan in accordance with the billing terms presented at checkout.

4.4 Changes to the Service

We reserve the right to modify, update, add to, or discontinue any part of the Service at any time. We will give you reasonable notice of any significant changes, particularly where those changes may affect your ability to access your data or use features you currently rely on.

5. Your Responsibilities and Acceptable Use

5.1 Accuracy of Information

You are solely responsible for the accuracy and completeness of all information you enter into Billow, including business details, client information, invoice amounts, expense records, and tax information. Billow does not verify the accuracy of the information you provide and is not responsible for errors in your invoices or financial records.

5.2 Legal Compliance

You are responsible for ensuring that your use of Billow complies with all applicable laws in your country and jurisdiction. This includes but is not limited to laws relating to invoicing, taxation, value added tax (VAT), data protection, and consumer protection. We provide tools to help you create professional invoices but we do not provide legal, tax, or accounting advice. If you are unsure of your legal obligations, you should consult a qualified professional.

5.3 Prohibited Conduct

You agree not to use the Service for any of the following purposes: creating or sending invoices for fraudulent, illegal, or non-existent transactions; misrepresenting your identity, your business, or your qualifications to your clients; using Billow to send unsolicited communications to individuals who have not agreed to receive them; attempting to access another user's account or data without authorisation; attempting to probe, scan, or test the vulnerability of our systems or networks; uploading files containing viruses, malware, or any other harmful code; using automated tools, scripts, or bots to access the Service without our written permission; reselling or redistributing access to the Service without our written permission; attempting to reverse engineer, decompile, or extract source code from any part of the Service; using the Service in a way that violates any applicable law or infringes the rights of any third party.

Billow reserves the right to suspend or terminate any account that we believe, in our sole discretion, is being used in violation of these Terms.

6. Intellectual Property

6.1 Our Intellectual Property

Billow and all content within it, including the design, layout, code, features, trademarks, logos, and written content, are the intellectual property of Billow and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of Billow without our express written permission.

6.2 Your Content and Data

You retain full ownership of all content you create using Billow, including your invoices, client records, expense records, and any images (such as your logo or digital signature) you upload to the platform. By uploading content to Billow, you grant us a limited, non-exclusive, royalty-free licence to store, display, and process that content solely for the purpose of providing the Service to you. We do not claim ownership of your content and will not use it for any purpose beyond providing and improving the Service.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction, compensation, or obligation to you.

7. Payment Details and Financial Data

7.1 Payment Details on Invoices

The Mobile Money numbers, bank account details, and other payment information you add to your account are used solely to populate the payment instructions section of invoices you create. Billow does not process, initiate, receive, or hold any payments on your behalf. All payments between you and your clients are made directly, outside of the Billow platform.

7.2 No Financial Advice

Billow's financial dashboard, reports, AI insights, and business health score are provided for informational and organisational purposes only. They do not constitute financial, accounting, tax, or investment advice. You should not rely on Billow's tools as a substitute for advice from a qualified financial or accounting professional.

8. Public Invoice Links

When you share an invoice using Billow's public link feature, a version of that invoice becomes accessible to anyone who has the link, without requiring them to log in. You understand and agree that you are responsible for deciding what information appears on your invoices and for choosing to share public links with your clients. You should not include sensitive personal information on invoices beyond what is necessary for legitimate business purposes.

9. Third-Party Services

Billow integrates with or facilitates connections to third-party services, including Google for authentication and WhatsApp for invoice sharing. Your use of those third-party services is governed by their own terms of service and privacy policies. We are not responsible for the practices, availability, or content of any third-party service.

10. Disclaimers and Limitation of Liability

10.1 Service Provided As Is

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, completely secure, or free of viruses or other harmful components.

10.2 Limitation of Liability

To the fullest extent permitted by applicable law, Billow and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising from or relating to these Terms or the Service shall not exceed the total amount you have paid to Billow in the twelve months preceding the claim, or fifty US dollars (USD $50) if you have not made any payments, whichever is greater.

10.3 Indemnification

You agree to indemnify, defend, and hold harmless Billow and its founders, employees, and affiliates from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

11. Termination

11.1 Termination by You

You may close your Billow account at any time by contacting us at support@billowafrica.com. Upon account closure, your data will be deleted within 30 days in accordance with our Privacy Policy. We recommend that you export your invoice and expense data before closing your account, as this information will not be recoverable after deletion.

11.2 Termination by Billow

We reserve the right to suspend or permanently terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or harmful activity, or for any other reason at our sole discretion. We will typically give you notice and an opportunity to remedy a violation before taking action, except in cases of serious or repeated misconduct.

11.3 Effect of Termination

Upon termination of your account for any reason, your right to access and use the Service ends immediately. Provisions of these Terms that by their nature should survive termination will continue to apply, including ownership provisions, disclaimers, limitation of liability, and indemnification.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Service shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the courts of Ghana, and you consent to the personal jurisdiction of those courts.

If you are a consumer located in a jurisdiction that provides mandatory consumer protection rights, nothing in these Terms limits those rights.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and display a notice within your Billow account at least 14 days before the new Terms take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them.

If you do not agree with updated Terms, you must stop using the Service and may close your account before the new Terms take effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Billow regarding your use of the Service and supersede all prior agreements, understandings, or representations relating to the same subject matter.
